These Terms and Conditions (“Terms”) govern your access to and use of orchevo.com (the “Site”) and the purchase of products from Orchevo, LLC (“we”, “us”, “our”), a Delaware limited liability company located at 1111b South Governors Ave STE 21853, Dover, DE 19904, United States.
By accessing the Site, placing an order, or otherwise using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order through the Site. By placing an order, you represent and warrant that you meet this requirement and that the information you provide is accurate and complete.
2. Products
We sell custom-engraved stainless steel labels and related products. Product images on the Site are representative; the actual product you receive may vary slightly in appearance due to manufacturing tolerances and material variations. We reserve the right to modify, discontinue, or limit the availability of any product at any time without notice.
3. Custom personalization
Many of our products include customization options, such as engraved text on labels. You are solely responsible for the accuracy of any text, spelling, formatting, or design choices you submit during the ordering process. We will engrave exactly what you submit. Once an order containing custom personalization has entered production, it cannot be modified or cancelled, and is not eligible for return or refund except in cases of our manufacturing error or product defect (see our Refund Policy).
4. Pricing and payment
All prices on the Site are listed in United States Dollars (USD) and do not include applicable sales tax, which is calculated at checkout based on your shipping address. We reserve the right to change prices at any time, but price changes will not affect orders that have already been confirmed.
Payment is processed by Stripe at the time you place your order. By submitting payment information, you authorize us (through Stripe) to charge the full order amount, including tax and shipping. We do not store full payment card numbers on our servers.
5. Order acceptance
Your submission of an order constitutes an offer to buy, not a binding contract. We reserve the right to accept or refuse any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraud. If we cancel an order after payment has been processed, we will issue a full refund to your original payment method.
6. Shipping and delivery
We ship to addresses within the United States, and may expand to additional countries in the future. Shipping options, costs, and estimated delivery times are presented at checkout.
Risk of loss for products passes to you upon delivery to the shipping carrier. We are not responsible for delays, loss, or damage caused by the shipping carrier, customs authorities, or events outside our reasonable control.
If a package is returned to us as undeliverable, we will contact you to arrange reshipment at your expense, or to issue a refund net of the original shipping cost and a 15% restocking fee for non-personalized items.
7. Returns and refunds
Returns, refunds, and replacements are governed by our Refund Policy, which is incorporated into these Terms by reference.
8. Intellectual property
All content on the Site — including text, graphics, logos, product images, designs, and software — is the property of Orchevo, LLC or its licensors, and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Site without our prior written consent.
When you submit text or designs for custom personalization, you represent and warrant that you have the right to use that content and that it does not infringe any third party’s intellectual property, privacy, or other rights. You grant us a non-exclusive, royalty-free license to reproduce that content for the purpose of fulfilling your order.
We reserve the right to refuse any personalization request that, in our sole discretion, is offensive, infringing, unlawful, or otherwise inappropriate.
9. Acceptable use
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or related systems
- Interfere with the Site’s operation, security features, or any other user’s use of the Site
- Submit false, misleading, or fraudulent information
- Use any automated means (bots, scrapers, crawlers) to access the Site without our prior written consent
10. Disclaimer of warranties
THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORCHEVO, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.
12. Indemnification
You agree to indemnify and hold harmless Orchevo, LLC, its officers, members, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site; (b) any content you submit for custom personalization; or (c) your violation of these Terms or any applicable law.
13. Governing law and venue
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. You agree that any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Kent County, Delaware, and you consent to the personal jurisdiction of those courts.
14. Dispute resolution
Before filing a legal claim, you agree to first attempt to resolve any dispute informally by contacting us at brad@orchevo.com. We will attempt to resolve the dispute in good faith within 30 days.
15. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top of these Terms will be revised whenever we make changes. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
17. Entire agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Orchevo, LLC regarding your use of the Site and supersede all prior agreements and understandings.
